These Terms of Service ("Terms") govern your access to and use of the BrokerageAudit platform and services (the "Service") provided by BrokerageAudit, Inc. ("BrokerageAudit," "we," "us," or "our"), a Delaware corporation. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you are at least 18 years old, have the legal authority to bind the organization on whose behalf you are using the Service (your "Agency"), and agree to these Terms on behalf of your Agency. If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
BrokerageAudit provides an AI-powered backoffice operating system designed for US independent insurance agencies. The Service includes:
- Automated document processing and data extraction from insurance documents
- Policy comparison and discrepancy analysis between binders, policies, endorsements, and renewals
- Certificate of insurance (COI) verification and compliance tracking
- Commission statement reconciliation and discrepancy detection
- Carrier submission intake and processing
- AI-powered search and analytics across agency data
The Service uses artificial intelligence to analyze documents and generate outputs. AI-generated results are intended to assist your staff, not replace professional judgment. You are responsible for reviewing and verifying all AI-generated outputs before acting on them.
3. Accounts
3.1 Registration
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your password.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.
3.3 Agency Accounts
The Service is organized around Agency accounts. An Agency administrator may invite additional users and assign roles. The Agency administrator is responsible for managing user access and ensuring all users under the Agency account comply with these Terms.
4. Subscriptions and Billing
4.1 Plans and Pricing
The Service is offered on a subscription basis. Current plan details and pricing are available at brokerageaudit.com/pricing. We reserve the right to change pricing with 30 days' prior notice.
4.2 Billing
Subscription fees are billed in advance on a monthly or annual basis through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. Fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
4.3 Usage Limits
Each plan includes specified limits on document processing volume, user seats, and storage. If you exceed your plan's limits, we will notify you and may apply overage charges or require an upgrade. Details of usage limits are specified on your plan's pricing page.
4.4 Free Trials
We may offer free trial periods. At the end of a trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires. We will notify you before the trial ends.
5. Your Data
5.1 Ownership
You retain all ownership rights in the documents, data, and content you upload to the Service ("Your Data"). We claim no ownership over Your Data.
5.2 License to Us
You grant BrokerageAudit a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Data solely for the purpose of providing the Service to you. This license terminates when you delete Your Data or close your account.
5.3 Data Processing
Your Data may be processed by third-party AI services (Anthropic Claude API) to provide document analysis features. Such processing is governed by our Privacy Policy and our agreements with those providers. Your Data submitted through the Anthropic API is not used to train AI models.
5.4 Data Export
You may export Your Data at any time during your active subscription. Upon termination, we will retain Your Data for 90 days to allow for export, after which it will be permanently deleted.
6. Intellectual Property
6.1 Our Property
The Service, including its software, algorithms, user interface, documentation, and branding, is the exclusive property of BrokerageAudit and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it as described herein.
6.2 Feedback
If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without restriction or obligation to you.
7. Prohibited Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or industry standard
- Upload content that infringes third-party intellectual property rights
- Attempt to reverse engineer, decompile, or disassemble the Service
- Use automated means (bots, scrapers) to access the Service other than through our published APIs
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service or its related systems
- Resell, sublicense, or redistribute access to the Service

8. Disclaimers
8.1 AI Accuracy
The Service uses AI to analyze insurance documents. While we strive for high accuracy, AI-generated outputs may contain errors. The Service is designed as a tool to assist licensed insurance professionals, not to replace professional judgment. You are solely responsible for reviewing and verifying all outputs before relying on them for business decisions, compliance, or Errors & Omissions (E&O) purposes.
8.2 No Insurance Advice
BrokerageAudit is a technology platform and does not provide insurance advice, legal advice, or professional consulting services. The Service does not constitute an insurance advisory relationship.
8.3 As-Is Provision
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROKERAGEAUDIT'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL BROKERAGEAUDIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, BROKERAGEAUDIT SHALL NOT BE LIABLE FOR ANY E&O CLAIMS, REGULATORY PENALTIES, OR LOSSES ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUTS WITHOUT INDEPENDENT VERIFICATION BY QUALIFIED INSURANCE PROFESSIONALS.
10. Indemnification
You agree to indemnify, defend, and hold harmless BrokerageAudit, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or violation of any rights of a third party.
11. Termination
11.1 By You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You remain responsible for any fees incurred before the effective date of termination.
11.2 By Us
We may suspend or terminate your account if you breach these Terms, fail to pay fees when due, or if we reasonably believe your use of the Service poses a security risk. We will provide notice before termination when practicable. For material breaches, we may terminate immediately.
11.3 Effect of Termination
Upon termination, your right to access the Service ceases. We will retain Your Data for 90 days post-termination to allow for export. Sections 5.1, 6, 8, 9, 10, and 13 survive termination.
12. Modifications to Terms
We may modify these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.
Before initiating any legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and BrokerageAudit regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, acts of government, or internet service disruptions.
